SPC Global has launched further legal proceedings against two former directors and an advisory firm, seeking to recover more than $4.5 million related to historical expenditure and related-party arrangements.

The company filed proceedings in the Supreme Court of Victoria against former directors, Dr Hussein Rifai and Andrew Cohen, and Perpetuity Capital Advisory.

SPC said the claims relate to alleged breaches of directors’ duties and other obligations. The disputed arrangements include matters associated with the historical sale and leaseback of its Shepparton manufacturing site.

The company alleges amounts were incurred or paid without proper authorisation, were not for a proper company purpose, or breached directors’ duties and other obligations.

The latest action is in addition to proceedings launched against Rifai and Thor Capital in July. Those proceedings, filed in the County Court of Victoria, sought the recovery of amounts arising from historical expenditure, reimbursements and related-party arrangements.

SPC said it intended to combine the two proceedings.

The allegations relate to historical matters and do not involve any current member of SPC Global’s board or leadership team.

Rifai joined SPC as executive chair following its acquisition from Coca-Cola Amatil in 2019. He chaired the company through its merger with The Original Juice Company and Nature One Dairy and its return to the ASX in December 2024, before resigning from the board in November 2025.
